How to Assemble a Board of Directors

In simple terms, a board of directors is a body of appointed individuals who oversees the operation and activities of an organization or a company. The board usually exercises a higher level of authority that allows them to make important decisions for the good of the organization. For a business organization planning to set up a board of directors for a growing company, here are some things to consider.

Seek out people experienced in the field.

A board of directors should be composed of individuals who have gained quite an experience in the field or industry where the business or the company belongs. This experience may also include having previously managed other companies usually bigger than that of the business owner. At least one individual with such experience should be a part of the board. Other likely candidates would be individuals who have expertise on managing other businesses in various stages of development.

Character is also important.

Aside from experience and expertise, individuals with a certain set of character should also be preferred over the others. The board of directors is usually tasks to make important decisions for the good of the company. Having individuals of conflicting characters as well as set of beliefs can lead to frequent clashes that may be detrimental to the company in general. Choose a board that would likely look at problems from the perspective of objectivity and with board members who are willing to go the other way at certain times for the good of the organization.

Make changes along the way.

Just as the company evolves into different stages of growth and development, so will its needs and expectations for a board of directors. The initial board of directors may not have the means to take the company to the next level and so may require a different set. The overall business head or CEO should consider making changes to the board of directors at certain stages of the company in order to appoint other individuals who may have the better means to bring the company into the next stage.
